VIRYANET ANNOUNCES TRANSFER OF STOCK LISTING TO NASDAQ SMALLCAP MARKET

Southborough, Mass. - December 24, 2002 - ViryaNet (NASDAQ: VRYA), a provider of integrated mobile and Web-based software applications for workforce management and the automation of field service delivery, announced today NASDAQ approval of its application to have its ordinary shares listed on the NASDAQ SmallCap Market. This transfer will be effective at the opening of business on Tuesday, December 31, 2002. The Company's ordinary shares will continue to trade under the symbol VRYA, but now on the NASDAQ SmallCap Market.

The Company was notified recently that it has not maintained a minimum market value of publicly held shares of $5,000,000 and, therefore, does not comply with the requirements for continued listing on NASDAQ's National Market System. "At this time, we decided to apply voluntarily for listing on the SmallCap Market. We believe that the transfer to the SmallCap Market is in the best interest to our shareholders, as it will better protect the trading continuity of the stock as we pursue our business objectives," said Win Burke, president and CEO, ViryaNet. "Furthermore, moving to the SmallCap Market will not significantly change the manner by which the ViryaNet shares are quoted and traded."
